Terms of Service

1. Acceptance of Terms

By accessing or using PipeForge ("the Service", "we", "us", or "our") at https://www.pipeforge.net, you ("User", "Customer", or "you") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following any update to these Terms constitutes acceptance of those changes.

2. Description of Service

PipeForge is a software-as-a-service (SaaS) platform that enables users to design, deploy, and monitor automated data pipelines using natural language instructions and AI-assisted code generation. The Service includes pipeline generation, scheduling, execution monitoring, connector integrations, and related features accessible via the web application.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice where practicable.

3. Account Registration

To access the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

  • Provide truthful and accurate registration information
  • Promptly update your account information if it changes
  • Immediately notify us of any unauthorised use of your account
  • Not share your account credentials with any third party
  • Not create more than one free account per person or organisation

We reserve the right to suspend or terminate accounts that contain false information or that violate these Terms.

4. Subscription Plans and Payment

All paid subscriptions are billed monthly in advance. Payments are processed by Paddle, our Merchant of Record, which handles all payment processing, tax collection, and compliance obligations on our behalf. By subscribing, you also agree to Paddle's terms of service.

Subscription fees are non-refundable except as required by applicable law or as set out in Section 6 (Cancellation and Refunds). We reserve the right to change pricing with 30 days' notice. Continued use after a price change takes effect constitutes acceptance of the new pricing.

If a payment fails, we will attempt to charge your payment method again. Access to paid features may be suspended if payment remains outstanding after reasonable notice.

5. Free Plan

The Free plan is provided at no charge and is subject to the usage limits specified above. We reserve the right to modify or discontinue the Free plan at any time with 30 days' notice. Free plan users have no contractual right to continued free access beyond the notice period.

6. Cancellation and Refunds

You may cancel your subscription at any time through the billing portal accessible from your dashboard. Cancellation takes effect at the end of the current billing period; you retain access to paid features until that date.

We do not offer prorated refunds for unused portions of a billing period. However, if you experience a significant service outage (defined as more than 24 consecutive hours of complete unavailability) that is solely caused by our systems, you may request a pro-rated credit for the affected period by contacting legal@pipeforge.net within 14 days of the incident.

Refunds may be issued at our sole discretion in cases of billing errors or where required by applicable consumer protection law in your jurisdiction.

7. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:

  • Violate any applicable local, national, or international law or regulation
  • Transmit, store, or process data in violation of any third-party rights, including intellectual property rights and privacy rights
  • Attempt to gain unauthorised access to any system, network, or data
  • Introduce malicious code, viruses, trojans, or other harmful software
  • Conduct denial-of-service attacks or any action that unreasonably disrupts the Service
  • Scrape, mine, or extract data from the Service using automated means beyond normal API usage
  • Resell, sublicense, or white-label the Service without prior written consent
  • Use the Service to build a competing product or service
  • Circumvent usage limits, plan restrictions, or access controls
  • Process data that you do not have the legal right to process

We reserve the right to investigate suspected violations and to suspend or terminate access without notice where we determine a serious or ongoing breach has occurred.

8. Data, Privacy, and Security

Our collection and use of personal data is governed by our Privacy Policy, incorporated into these Terms by reference.

You retain ownership of all data you input into or generate through the Service ("Customer Data"). You grant us a limited, non-exclusive licence to process Customer Data solely to provide and improve the Service.

You are responsible for ensuring that your use of the Service complies with applicable data protection laws (including GDPR where applicable) in relation to any personal data you process through pipelines. You are the data controller for Customer Data; we act as a data processor on your instructions.

We implement industry-standard technical and organisational security measures to protect the Service and Customer Data. However, no system is completely secure and we cannot guarantee absolute security.

Connector credentials (API keys, passwords) you store in the Service are encrypted at rest using AES-256 encryption. We do not access your credentials except as necessary to execute your pipelines.

9. AI-Generated Content

The Service uses artificial intelligence to generate pipeline code and configurations. AI-generated code is provided as-is. You are responsible for reviewing, testing, and validating any AI-generated code before relying on it in a production environment.

We do not warrant that AI-generated pipelines will be free from errors, will meet your specific requirements, or will be suitable for any particular purpose. You assume full responsibility for the output of pipelines executed under your account.

10. Intellectual Property

PipeForge and its licensors own all intellectual property rights in the Service, including but not limited to software, user interface design, trademarks, and documentation. Nothing in these Terms transfers any intellectual property rights to you.

You may not copy, modify, distribute, sell, or lease any part of the Service, or reverse-engineer or attempt to extract the source code of the Service, unless you have our written permission or applicable law permits it.

AI-generated pipeline code produced by the Service for your account is owned by you. We retain no ownership interest in code generated exclusively from your prompts and data.

11. Third-Party Services and Integrations

The Service integrates with third-party platforms (e.g. Shopify, Snowflake, Salesforce, Google Sheets). Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or conduct of third-party services.

We do not endorse and are not liable for any third-party content, products, or services accessed through or in connection with the Service.

12. Service Availability and SLA

We target 99.5% monthly uptime for the core API and pipeline execution infrastructure, excluding scheduled maintenance windows (of which we will provide at least 24 hours' notice) and circumstances beyond our reasonable control.

The Service is provided over the internet and your access may be affected by factors outside our control, including your internet connection, third-party API availability, and force majeure events. We do not guarantee uninterrupted or error-free access.

13. Limitation of Liability

To the maximum extent permitted by applicable law, PipeForge and its officers, directors, employees, and agents shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or business opportunities
  • Damages resulting from unauthorised access to or alteration of your data
  • Damages resulting from errors in AI-generated pipeline code
  • Damages caused by third-party service failures or API changes

Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the greater of (a) the total fees paid by you in the 12 months preceding the claim, or (b) USD $100.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

14. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will meet your requirements, that results obtained will be accurate or reliable, or that defects will be corrected.

15. Indemnification

You agree to indemnify, defend, and hold harmless PipeForge and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Service in violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Data you input, process, or transmit through the Service
  • Pipelines you deploy and their effects on your systems or data

16. Termination

You may terminate your account at any time by cancelling your subscription and deleting your account from the Settings page. Termination does not entitle you to a refund of prepaid fees.

We may suspend or terminate your access immediately and without notice if you breach these Terms, engage in fraudulent or illegal activity, or if continued access poses a risk to the Service or other users.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days post-termination to allow export, after which it will be permanently deleted, unless retention is required by law.

17. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where applicable consumer protection law in your country of residence provides otherwise.

18. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email to the address associated with your account and by a notice in the dashboard at least 14 days before they take effect.

If you do not agree to the updated Terms, you must stop using the Service before the effective date of the changes. Continued use after that date constitutes acceptance of the new Terms.

19. General Provisions

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and PipeForge regarding the Service and supersede all prior agreements.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force majeure. Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, government actions, internet outages, or third-party service failures.
